Prism Holdings — business plan and corrected 36-month review
OWNER REVIEW DRAFT • 26 October 2026 UTC • Not an approved investment, financing offer or master replacement.
Forecast periods: Year 1 November 2026–October 2027; Year 2 November 2027–October 2028; Year 3 November 2028–October 2029. These are not calendar years. Whole dollars are displayed; the workbooks retain precision. [S01–S04]
1. The answer in plain language
The model is corrected, but the Target plan is not yet a fundable recommendation. Low also fails. High shows a conditional profitable path and pays your scheduled compensation; it does not establish that those sales, prices or financing are available.
| Case | Year 1 net income | Year 2 net income | Year 3 net income | Three-year net income |
|---|---|---|---|---|
| Low | $-520,614 | $-416,188 | $-436,612 | $-1,373,413 |
| Target | $-392,033 | $-44,998 | $-103,112 | $-540,143 |
| High | $-226,304 | $428,238 | $422,921 | $624,855 |
Where the money goes: customers pay for transport and other services; that money first pays delivery staff, vehicles, premises, marketing and support. The group then still bears depreciation, interest, loan principal and your compensation. Internal invoices do not create outside revenue. A positive bank balance is insufficient when pay remains unpaid.
Obsidian itself produces positive entity EBITDA in Target, including Year 1. The group still loses money after the rest of the operating structure and asset/financing costs. The dealership remains a procurement hub; absence of speculative outside car sales does not make it valueless. No wholesale discount or dealer tax exemption has been invented. [S01,S05]
2. The business model and operating sequence
| Business | Initial purpose | What should wait for proof |
|---|---|---|
| Prism Motors & Fleet | Dealer and shared procurement/asset operation for Obsidian, Glean and other approved services | Outside resale profits, unquoted discounts, unfunded replacement or additional fleet commitments |
| Obsidian Black | Qualified private/corporate passenger service plus eligible platform work using the same exclusive driver/vehicle clock | Full around-the-clock coverage and more guaranteed driver cohorts without sufficient actual demand and cash |
| Glean Home Services | Paid internal fleet care, independently supported external work and a separately approved matched route acquisition | Acquired customers before close, unqualified trades, automatic cross-selling or expansion without providers and working capital |
| Digital Services | Scoped websites, marketing/strategy, development and remote creator offers with paid fulfillment | Permanent studio, broad delivery promises or staffing before clients and feasible scope |
| Property Management | Support the documented operating footprint and leaseholding needs | Uncontracted outside property income, added office or creator premises without readiness |
Home-based administration remains distinct from the proposed dealer premises. Retain the dealer, four Denali SUVs, commercial S500 and Holding BMW in the current comparison. The BMW is not passenger-service backup. Paid commercial storage can be evaluated against actual access/use/coverage requirements; it does not automatically satisfy a dealer's premises requirements. No new added office or creator studio is released here. Sites, quotes and permissions remain unconfirmed.
Recommended order: finish funding and readiness; establish dealer/fleet and a measured Obsidian launch; sell tightly scoped Digital work remotely; release independently funded Glean work; then acquire a matched route and expand only when whole-plan cash and qualified capacity support it. SimplyTech and Pitstop belong within the intended Home Services structure but remain unmodeled, not zero-profit businesses. [S05–S07]

EBITDA describes operating earnings before asset and financing charges. Net income includes those charges. Neither is the same as cash available for distributions. Zero tax in loss-making cases does not remove expenses or validate a tax filing. [S01]
4. Target — where the money goes
| Measure | Year 1 | Year 2 | Year 3 |
|---|---|---|---|
| CEO gross salary | $120,000 | $120,000 | $120,000 |
| CEO health allowance | $18,000 | $18,000 | $18,000 |

| Dealer application/bond/setup allowance (incl300) | $2,000 | $0 | $0 |
The producer reconciles these components to Parent external costs with only floating-point rounding residuals. Parent EBITDA also reflects its internal transactions; it is not identical to this external-cost subtotal. There is one paid assistant pool, not an assistant plus another coordinator. Proposed ROBS/legal/technology/contingency allowances remain estimates, not supplier invoices or guaranteed spend savings. They need item-specific quotes and timing before commitments; this iteration has not arbitrarily deleted them.
The Target's operating structure is not just owner salary. The table includes one paid assistant, employer costs, legal/administration, BMW operating costs, technology, readiness and other allowances. Property external costs are retained separately. No second CSM is hidden in the assistant pool.
The extra unidentified 10% of all private fares is now zero in expected spending. Actual media, finite paid sales time, delivery/card expenses and selected genuine provider fees remain. The old result remains a stress comparison. A budget allowance is not a quoted fee, but an unquoted necessary cost also cannot be assumed free. [S01,S05]

The $660,000 initial assumption is $330,000 personal capital plus $330,000 proposed ROBS. ROBS is not approved or assumed legally ready. The separate $267,200 refinancing is uncommitted; there is no written lender or seller-financing offer. These capital flows are not sales and must not be counted twice.
The 108-row monthly cash/resource attachment is the detailed monthly view. Monthly closing cash does not prove every payroll, supplier or debt payment can be met within the month. Free-cash-flow rows include full scheduled owner costs as defined by the producer; bank cash also reflects actual deferred payments and beginning balances. Use the full-obligation and arrears rows alongside the bank balance. [S01,S02]

| Gross salary scheduled | $120,000 | $120,000 | $120,000 |
| Salary actually paid | $120,000 | $120,000 | $120,000 |

| Health actually paid | $18,000 | $18,000 | $18,000 |
| Unpaid health at year-end | $0 | $0 | $0 |
Full scheduled compensation remains $120,000 gross salary plus $18,000 health annually. Personal take-home after tax is not calculated here. Low ends with $322,000 unpaid compensation; Target ends with about $38,998 unpaid; High has none. Deferred pay is not a saving or an affordable compensation result. [S01,S04]
7. Break-even — three different questions
| Case | First positive net month | Month after which every remaining month is net-positive | Three-year net income |
|---|---|---|---|
| Low | Not reached | Not reached | $-1,373,413 |
| Target | 13 | Not reached | $-540,143 |
| High | 9 | 9 | $624,855 |
Month numbers begin with November 2026. A profitable month is different from sustained monthly profit; cumulative accounting profit is different from recovering the original investment in cash. High's positive cumulative net income does not establish an investment-payback date or distributable cash. The model's separate thirteen-operating-week release test is not group break-even. [S01]

| High | Digital | 2 | $306,987 | $164,569 |
| High | Digital | 3 | $365,632 | $195,107 |
| High | Property | 1 | $0 | $0 |
| High | Property | 2 | $0 | $0 |
| High | Property | 3 | $0 | $0 |
These are intermediate entity operating results. Parent/shared costs, intercompany eliminations and group interest/tax/depreciation matter. Entity net income has not been allocated and must not be inferred from EBITDA. Property's zero entity margin does not remove the external premises cost; Fleet's zero outside sales does not eliminate its procurement purpose. Glean is the modeled portion of the broader Home Services ambition. [S01,S03]
9. Staffing, shared resources and actual service hours
| Case | Conditionally costed driver positions across the calendar | Initial assistant paid hours/month |
|---|---|---|
| Low | 2 | 80 |
| Target | 10 | 80 |
| High | 18 | 80 |
These are modeled, conditionally costed positions, not proof of funded or hired workers. Target has 10 positions rather than 30 fully staffed posts or five commercial cars running 24/7. Low has two; High has eighteen. All forty-hour guarantees and earned obligations remain when a worker is released in the calendar. High's same assistant steps to 120 paid hours/month; that is one person, not an additional coordinator.
The driver planning alternative is the greater of the $18/hour required-working-time floor or 40% of eligible net collected fares, with tips separate and the existing paid leave, lead premium, employer costs and benefits. It is a planning alternative, not signed employment terms. Earlier 50% comparisons are history. No unpaid founder or backup capacity is introduced.
Founder capacity is 160 hours/month: management100, sales40 and reserve20, with Digital20 inside that total. The initial assistant is80 paid gross hours/month at assumed $35/hour before employer costs. Any expansion must satisfy contribution, cash and the same finite task calendar. Qualified Glean/handyman providers bring paid time, travel, tools and actual suitability; own vehicles do not make labor free or establish contractor classification.
Target's actual clocks
| Measure | Year 1 | Year 2 | Year 3 |
|---|---|---|---|
| Paid driver hours | 7,320 | 20,830 | 20,850 |
| Net bookable vehicle hours after holds | 4,402 | 13,456 | 13,500 |
| Private billed fare hours delivered | 2,918 | 8,690 | 7,702 |
| Platform occupied fare hours | 213 | 756 | 1,220 |
| Remaining staffed clock, not app-online hours | 608 | 2,159 | 3,486 |
| Private goal hours unserved | 599 | 0 | 0 |
Hours above are hours, not dollars. Target's delivered fare-hour share of paid driver time is reproduced below, not assumed to equal100%. Paid time includes obligations that do not all produce fares.
| Year | Delivered fare hours per paid hour | Gross transport receipts per paid driver hour | Loaded driver accrual per paid hour |
|---|---|---|---|
| 1 | 42.8% | $57 | $31 |
| 2 | 45.3% | $61 | $31 |
| 3 | 42.8% | $56 | $29 |
The difference between receipts and driver accrual is not profit: vehicles, premises, other delivery, support, depreciation, interest and tax remain. This forecast does not prove daily intramonth funding, real qualified cover or platform acceptance. [S01,S06]
10. Customers, marketing and unit contribution
| Business/channel | Modeled or planned basis | Cost/return evidence and boundary |
|---|---|---|
| Obsidian direct private/corporate | Paid lead programme, qualification/close lag, repeat accounts and actual deliverable service hours | Campaign planning allowance $1,500/month when released; CPL $75 is a hypothesis, not a quote or guaranteed bookings. Founder/assistant selling time is finite and paid. |
| Obsidian platform categories | Conditional class/product fare, occupancy and fee assumptions using remaining qualified driver/car time | Consumer Premier/SUV route observations are not Black eligibility or driver payout evidence.20% fee is a proxy, applied once; an occupied fare-hour rate is not revenue per paid hour. EV category eligibility is not inferred for a nonqualifying vehicle. |
| Glean acquired lawn accounts | Transferred eligible accounts, retention/churn, due visits and provider readiness after close | $130,000 asking-price option and provider shares are unverified planning inputs; no acquisition means no transferred accounts. |
| Glean independent cleaning/handyman | Separately funded service-specific offers and finite pilot; qualified paid providers | Website/marketplace leads need their own budget, conversion, scope and capacity. Referral rates are hypotheses, not assured sales. |
| Digital/remote creator | Scoped website, marketing strategy, development/app or creator client services | Actual client deposits, paid fulfillment, support/software and finite management time must be documented. No studio income or signed creator cohort is invented. |
| Dealer/fleet and Property | Shared support in this case | No speculative outside resale, rental or property-management channel revenue is included; later fleet recycling requires its own sale/debt/replacement bridge. |
Online/search/social, LinkedIn/outbound email/phone, referrals, marketplaces and vehicle cross-promotion are distinct channels to measure. Radio, streaming TV, broad creator media, portal/loyalty bundles and cross-brand campaigns have no validated incremental ROI in this forecast. The source register identifies programmes and fee mechanics; it does not establish actual local lead volumes or allow a marketplace to be treated as free. No aggregate audience or conversion from vehicle advertising has been invented. [S07,S09]
Target marginal private-service recipe
| Vehicle | Gross per billed fare hour | Marginal contribution in commission regime only |
|---|---|---|
| SUV | $125 | $53 |
| S500 | $175 | $80 |
This is per billed fare hour, not per paid/online hour and not full profit. The recipe includes the selected commission, card, moving and variable-wear assumptions but excludes paid floor/idle uplift, leave, benefits, lead/media, minimum wear/fixed vehicle costs, cleaners, insurance, HQ, depreciation, interest and tax. Those costs remain in the actual results. No higher price was introduced in this correction.
Target's corporate-plus-Glean Parent media is $14,400 in Year1 and zero in Years2–3; this is not a claim that all Digital or other marketing expenses are zero. The decline in funded acquisition and retained customer activity is a planning concern, not a reason to invent customers. Any next release should protect a measurable, affordable sales programme alongside fulfillment. [S01]
11. Changes and differences from the uploaded blueprint
| Topic | Current interpretation |
|---|---|
| Dealer role | Retained as a shared procurement/asset hub, not judged only on outside resale income. Discounts/tax treatment require evidence. |
| Route capital | Blueprint's unsplit $45,000 route/truck bucket is not the selected price or cohort of the later $130,000 rights-only lawn option. No free truck/equipment credit or cheap equivalent customer book is assumed. |
| Marketing | Unsupported extra10% private-fare spending is excluded from expected expenses, while real paid acquisition and sales work remain. Source6 remains a separate stress/history. |
| Purchase timing | Current unchanged13-week planning affordability rule still admits the option on11January2027 in all three cases; it does not demonstrate36-month affordability. No method was secretly tightened after seeing losses. |
| Staffing | Demand/cash-based releases rather than automatically staffing all30 positions. Forty-hour guarantees and full scheduled owner compensation remain; actual funding shortfalls are exposed. |
| Premises | Home HQ and no added office/studio are separate from proposed dealer premises. Paid storage needs quotes/access/use/insurance checks and cannot automatically replace required operating premises. |
| Creator/Digital | Early remote offers can be prepared; paid qualified fulfillment and clients precede a permanent studio. |
| Funding | Current owner direction is660k total proposed equity; proposedROBS and267,200 refinancing are not approved funds. No S-corp or Solo401(k). |
| Costs/profit | Include paid cover, downtime, tax/book differences, debt, working capital and internal eliminations rather than treating contractor status or internal billing as savings. |

These are producer-exported deltas. Cost removal also changed cash-based customer and staffing outcomes; it is not a guaranteed one-for-one saving. The computational cash/tax readiness and date-boundary repairs changed no economic policy. [S01,S05,S08]
12. What the cash and downside tests do not prove
- Low is the modeled demand downside and is substantially unfunded; it is not a no-ROBS/no-refinance sensitivity. Those funding removals were not recalculated in this batch.
- High uses the same conditional funding framework and stronger unvalidated demand assumptions. It is not a secured base case or permission to spend.
- Acquisition gate runway is thirteen operating weeks. Its passing does not mean all future salaries, reserves and replacement can be paid. The Target result demonstrates that distinction.
- Full fleet replacement has no actual purchase/disposal schedule in the current outputs. Wear expense, depreciation and a $5,400 restricted earmark do not prove replacement is funded or remaining cash is distributable.
- The current model retains an unvalidated matched-cleaning cost offset. Its expense-only exposure is reported; a complete no-offset tax/cash/entry-gate rerun was not performed. This is not an awarded government incentive or evidence of free cleaning.
- The forecast is monthly; intramonth payroll/settlement timing, actual lender terms, ROBS, commercial permissions, customer contracts, qualified worker availability and provider quotes remain unresolved.
- Glean/handyman technical qualification is service-specific. No general pilot establishes licensed remodel, pool or specialist mobile repair capability. SimplyTech/Pitstop remain unmodeled.
These are open acceptance criteria, not reasons to treat unknown values as zero or to launch a new unapproved scenario. [S01,S04,S06]
13. AI, technology, grants and enablement
Keep one shared intake/scheduling/follow-up/reporting approach and test automation against a paid manual baseline. Do not book AI savings or more staff capacity without measured time and quality. The existing Parent allowances include AI setup/recurring and portal setup/ongoing costs, but actual seats, tiers, implementation, support, training and permissions remain unresolved; the next owner decision should review these as scoped commitments.
Federal/state/local workforce funding and tax benefits are researched, not awarded. Eligibility, employer/worker/course requirements and written approvals remain necessary before treating reimbursements as funding. No OJT grant or other unawarded benefit reduces base capital needs. Book/tax treatment of qualifying acquired rights is a planning bridge; tax advice, seller allocation and actual transaction facts remain necessary.
The dedicated enablement coordinator owns the shared project plan; this master owns strategy and financial direction, the financial modeler alone owns calculations, existing site/resource owners retain their artifacts. Domains/email are later setup tasks, not blockers to local planning; actual owned destinations, consent and functioning forms gate live lead capture and final QR use. [S07,S10]
14. Recommended next choices — for your review
My recommendation is to validate and improve the operating sequence before committing more capital, rather than raising assumed fares or deleting your salary. No next scenario is started by this document.
- Obsidian: sell and measure before adding more guaranteed shifts. Keep a bounded qualified launch and founder-led sales, honor all earned/guaranteed pay, then require confirmed work or a separately funded finite platform-measurement pilot before the next cohort. Measure collected settlement, paid versus fare hours, qualified cover and vehicle costs. The existing ten-position Target is not actual funded staffing.
- Glean: choose a real matched acquisition and evaluate whole-plan cash. Keep the route ambition but compare actual rights, transferable clients, provider continuity and working capital against the full forecast. Do not assume the unselected130k January purchase because a short runway passes, or assume45k buys the same customers. Any deferral must also defer its customers, provider costs and dependent referrals. Independently funded cleaning/handyman work can be evaluated separately.
- Digital: narrow the paid offer and fulfillment scope. Establish deposits, qualified delivery, revisions/support and finite founder/assistant time before expanding media, managers or premises. Retain early remote creator preparation without an automatic studio.
The dealership, six vehicles and your compensation remain in this comparison. Smaller staffing alone can still leave costly vehicles underused. If a tested sequence cannot carry those retained costs, asset/site alternatives require a separate owner choice; no car, salary or earned obligation is quietly removed. These are recommended next tests, not a claimed smaller profitable forecast. [S06,S07]
15. Independent findings and remaining acceptance
The first new calculation exposed an annual-forward cash/tax readiness cycle. It was preserved as failed history. A narrowly reviewed primitive-versus-derived readiness repair retained the tax formulas and invalid-input/output checks; dates, obligations and route/pilot coupling were also checked. Target accurately records executedSource9 authoring plus Source10 correction; Low and High execute the full Source10 author. No unexecuted source was presented as executed.
All three actual cases passed independent technical receiving. The combined export passed4,634 raw/monthly/business checks plus240 Parent/delta/clock/unit checks. All108 monthly rows and45 business-year rows matched the saved books. This proves the checked outputs and report tables, not demand, funding approval, legal readiness or business success.
| Requirement | Current conclusion |
|---|---|
| Supported full-cost profitability | Target/Low fail; High conditionally profitable over the horizon, assumptions not commercially verified |
| Funded ramp and reserves | Target/Low fail full-obligation tests; High conditional, financing uncommitted and intramonth/replacement gaps remain |
| Affordable scheduled salary and health | High pays in full; Target/Low leave arrears |
| Sustainable debt/replacement | Debt schedules are modeled; actual terms and full replacement funding remain unresolved |
| Source and capacity integrity | Current checked outputs preserve paid labor/capacity, internal eliminations, own-case joins and disclosed assumptions |
| Completion | Business-plan goal remains unachieved; no canonical completion, master replacement or launch approval |
Further scenario changes stop after this complete iteration for your review. Independent content verification of this pack may finish; a goal continuation is not approval to choose another economic strategy. [S04]
16. Review pack and source guide
The current delivery manifest selects one owner review draft, the Target review workbook, Low/High scenario archives, the108-month cash/resource table,45-row entity table, settings/source freeze and independent findings. These are drafts and scenario archives, not competing masters. Earlier owner packs and failed calculations remain history.

Your next decision: review this complete comparison and choose or revise the recommended demand-first staffing and whole-plan acquisition sequence. There is no claim that additional capital alone cures Target's accounting losses, or that stronger sales are guaranteed. No further financial run starts without your review or redirection.
